Corporate & Commercial Law

We practice in the areas of corporate and commercial law, including the areas of corporate finance, mergers and acquisitions, business planning, business restructuring and reorganization, contract negotiation, employment and management matters, financial transactions, shareholder/partner relations and relationships between manufacturers, distributors, dealers and sales representatives.

Bankruptcy & Financial Reorganization

Our practice in this area focuses on debtor representation in chapter 11 cases and out-of-court workouts, creditors' remedies, committee representation and related commercial litigation, primarily in bankruptcy court.

Within chapter 11 cases, we also have extensive experience with the purchase or sale of businesses, various types of debtor-in-possession financing and investment by third parties to provide the foundation for reorganization. In out-of-court restructurings, we have negotiated a diverse range of financial transactions and solutions.

Financial Transactions

We represent borrowers in financial transactions with all types of lenders. We have particular expertise in the negotiation of financing transactions on behalf of distressed businesses, including financing for businesses involved in chapter 11 bankruptcy proceedings. Additionally, we represent all types of businesses in the negotiation of investment transactions with outside investors.

Real Estate Law

We represent clients in the area of commercial real estate development and finance, representing real estate developers, investors, owners, managers, tenants and users. Our real estate practice includes the representation of clients in purchase and sale transactions (including Section 1031 exchanges), financing transactions, management, leasing, development and planning and negotiation with cities and other local governmental entities.
